Is the Limited Company Private?

The registered office of a company is that to which CRO correspondence and all formal legal notices addressed to the company will be sent. The registered office can be anywhere in Ireland.

The address must be a physical location, not just a post office box number, because people have the right to visit the company's registered office to inspect certain registers and documents and to deliver documents by hand.

What is required?

Every company is required to paint or affix, and keep painted or affixed, its name on the outside of every office or place in which its business is carried on, in a conspicuous position, in letters which are easy to read. The company name in legible characters must be shown in all notices and other official publications of the company and in all bills of exchange, promissory notes, endorsements, cheques and orders purporting to be signed by or on behalf of the company and in all invoices, receipts and letters of credit of the company.

The following particulars must be shown on all business letters of a company;

  • the full name of the company (note that the only permissable abbreviations are "Ltd" for "Limited" , "Teo" for "Teoranta", "Plc" for "Public Limited Company" etc.)
  • the forename (or initials) and surnames and any former forenames and surnames of the directors and their nationality, if not Irish.

Withholding of Residential Address – Company Officer

Under Section 150(11) of the Companies Act 2014, it is possible for a company director not to disclose their residential address on a form submitted to the CRO.

  • Any exemption will take effect from the date that the Form T1 is registered and will apply to information submitted on Forms to the CRO after this date. Please note that the CRO cannot remove or amend a document from the Register which has already been submitted.
  • Successful applicants will instead enter the registered office address of the company rather than their residential address.
  • The applicant is responsible for the non-disclosure of the residential address where the application is successful. The CRO accepts no responsibility for the subsequent disclosure of the address by the company on any form submitted to the CRO.
  •  All other relevant information must be supplied eg Date of Birth, details of other company directorships etc. The omission only applies to the residential address.

Procedure

An application to request the exemption of the usual residential address of an officer of a company from appearing on the register shall comply with the following: 

  •  (i) The request for an exemption is sent to the Registrar in an envelope marked "For the Attention of the Registrar" and is accompanied by the Form T1. As the exemption will apply from the date of the registered T1 – a Form appointing the individual or changing the address of the individual (eg A1 – company incorporation or B10 – change in director details) may also be enclosed with the T1;
  •  (ii) The application requesting an exemption in accordance with section 150(11) must be accompanied by a supporting statement from an officer of the Garda Síochána not below the rank of a Chief Superintendent;
  • (iii) This statement must contain a request that the usual residential address of a person who is an officer of the company shall not appear on the register kept by the Registrar for reasons of personal safety or security.

    Where the Registrar is fully satisfied that the officer of the company has fully completed the procedure, she will notify the officer of the company concerned that an exemption has been granted. 

Letters

The following additional particulars must be shown on letters and are also required to appear on order forms of limited liability companies, whether they are in paper form or any other medium (such as email or faxes);

  • the legal form of the company
  • place of registration and registered number (as per certificate of incorporation), eg. registered in Dublin, Ireland
  • address of the registered office (where this is already shown on the document, the fact that it is the registered office must be indicated).
  • in the case of a company exempt from the obligation to use the use the company type (Companies Limited by Guarantee/Designated Activity Companies) as part of its name, the fact that it is such a company.
  • in the case of a company which is being wound up, the fact that it is so
  • if the share capital of a company is mentioned on letterheads or order forms of a company, the reference must be to the paid up share capital.

These particulars apply only to business letters and order forms and do not need to be included on delivery notes or invoices.

Company Website?

Every limited liability company which has a website is also required to display either on its homepage or to be identified on its homepage, a readily accessible webpage on which the following appear:

  • the name and legal form of the company
  • the place of registration of the company and the number with which it is registered
  • the address of the registered office of the company
  • in the case of a company exempt from the obligation to use the company type (Companies Limited by Guarantee/Designated Activity Companies) as part of its name, the fact that it is such a company.
  • in the case of a company which is being wound up, the fact that it is being wound up
  • if the share capital of a company is mentioned on the website, the reference must be to the paid-up share capital

Liquidation/Receivership

Where a company is being wound up, every invoice, order for goods, or business letter issued by or on behalf of the company should contain a statement that the company is being wound up. This applies to unlimited as well as limited companies.

Where a company has had a receiver appointed over property of the company, every invoice, order for goods or business letter issued by or on behalf of the company should contain a statement that a receiver has been appointed. This applies to unlimited as well as limited companies.

Unlimited Company

Unlimited company
In an unlimited company, there is no limit placed on the liability of the members. Recourse may be had by creditors to the shareholders in respect of any liabilities owed by the company which the company has failed to discharge. An unlimited company can be either public or private.
