1 Director
A Private Company Limited by Shares (Ltd) can be formed with just one director. The director is required to be an EU-resident or provide a bond.
1 Secretary
Every company formed in Ireland must have an official Secretary. The same person cannot be the director and the secretary.
1 Shareholder
A Company Shareholder is the actual owner of the company. A company can be owned by the director or the secretary or both.
Low Investment
A company can be formed with just €100 issued share capital. Additionally, 100,000 shares can be authorised for future use.
WHAT YOU NEED TO SET UP A COMPANY?
Choose a company name that is unique otherwise there is a good chance that another company has already reserved the name. We carry out a FREE check on the CRO system to confirm whether your proposed name is still available.
Your company can carry on multiple business activities but you are required to declare the principal or main business activity. The CRO require a statistical NACE code and we can assist you with selecting one if you provide us with detailed description of the company activity.
The CRO require that the company director is an EU resident. Non-EEA resident directors must supply a security bond to CRO. In practice nearly all companies have an Irish director as companies registered in Ireland must also be managed in Ireland for tax purposes.
Every company must have a secretary. While no special qualifications are required and many directors appoint a family member as the secretary, a person serving in this role is responsible for corporate compliance. We can act as your Company Secretary service if you don't identify a suitable person.
Every company is required to have Issued Share Capital which is number of shares allocated to shareholders. We recommend a low number of shares to be issued initially to limit your liability - 100 shares of €1 each. Authorised Share Capital is optional and we recommend a minimum of 100,000 shares authorised for future use.
Companies registered in Ireland are required to have a Registered Office Address to which CRO correspondence and all formal legal notices will be sent. It can be anywhere in the State but it must be a physical location, not just a P.O. box number. We are Registered Office agent registered with CRO which means you can use our address as your Registered Office address for a fee.
We submit an application containing all company details on the CRO online system CORE along with the non-refundable formation fee of €50. In return CRO will issue all relevant documents for your signature. Once the signed forms are returned to CRO, it takes up to 5 working days for CRO to issue the Certificate of Incorporation with the CRO number
Irish companies must use Revenue Online System for all tax filing and reporting obligations. Use of paper forms is no longer permitted. Also to register the company for taxes, ROS eRegistration platform can be used. We can register your company for ROS and process the initial registrations.
Newly formed companies must be registered for tax with Revenue as soon as they start trading. All companies formed in Ireland must be registered for Corporation Tax but also the company director will be automatically registered by Revenue for Income Tax.
Before the tax registration is processed, Revenue will require confirmation of the company's business address which is where the activities of the company are performed, i.e. where the business is carried out. A virtual office, P.O. box, agent's address will not suffice for tax purposes.
Value-Added Tax (VAT) registration is obligatory when the VAT thresholds are likely to be exceeded in any 12 month period. The thresholds are: €75,000 for sale of goods and €37,500 for sale of services. We can assist your company in this difficult registration process which takes up to 6 weeks and requires provision of strong supporting documentation.
We can assist with the preparation of documentation and we provide an application for a business bank current account for your company. If you choose one of the high street banks, at least one director will be required to attend a meeting with a bank official. Online banks can have less stringent requirements.
