Every Company registered in Ireland must do business in Ireland.
A company may not be incorporated and registered unless it appears to the Registrar of Companies (CRO) that the company, when registered, will carry on an activity in the State.
Form A1 contains a declaration, to be signed by a director or secretary of the company, or the solicitor, if any, engaged in the formation of the company, that one of the purposes for which the company is being formed is the carrying on by it of an activity in the State.
The declaration to be made is simply a statement by an officer or solicitor regarding the activity being carried on by a company. Any person who makes a declaration which to his knowledge is false or misleading in any material respect is liable to prosecution in the District Court, and on conviction, will be subjected to a fine and/or imprisonment.
Persons wishing to incorporate new companies are required to classify the principal activity of the company using the NACE classification for economic activities. The NACE code is the common basis for statistical classifications of economic activities within the E.C.
If the activity cannot be classified under the NACE code, a precise description of the activity must be provided to the CRO.
In the event that a company is being formed to carry on two or more activities within the State, the particulars to be furnished in the declaration are those relating to the principal activity which the company is being formed to carry on in the State.
Following the company registration, CRO will issue:
1) 6-digit Company registration number, and
2) digital Certificate of Incorporation.
