Who can be a Company secretary?

Generally, no formal qualifications are required to become the secretary of a private company. However, the directors of a company have a duty to ensure that the person appointed as secretary has the skills or resources necessary to discharge his or her statutory and other duties.

The duties of a secretary are duties delegated to the position by the directors. There is no definitive term covering what this will entail. Directors must ensure person is capable of doing the job.

Can the same person be a Director and a Company Secretary?

All company types must have one secretary (and a minimum of one director):
  •  In case of companies with two or more directors, the secretary may be one of the directors.
  •  A single-director company must have a separate secretary. Where a company has only one director, that person cannot hold the office of secretary of the company i.e. the company secretary must be someone other than the existing sole director.
  • A body corporate, i.e. a company may act as secretary to another company so the sole director can appoint a separate company to act as its secretary.

What are Company Secretary's duties?

A company secretary is the person or body corporate appointed by the directors to carry out the duties and function of the secretary.

1) The statutory duties of the company secretary are defined in company law.
2) To this may be added further duties by the board of directors which are normally administrative.
Therefore, the company secretary acts in accordance with the directors’ instructions and their main functions are normally to oversee the company’s day to day administration and to ensure specifically that the company complies with the law and observes its own regulations.
 

Company Secretary signatory duties

Notable forms which require the signatures of the secretary (and the director) include:

Form A1 – the company incorporation document and
Form B1 – the annual return

Two different people have to sign off on the forms. This would apply to companies with one director and two directors. The one individual as director cannot sign the same form in a dual capacity as both secretary and director.  The second director is required to sign as well.
If a form A1 or B1 is received (or any other prescribed form that requires the signatures of both a director and the secretary for certification) and the same individual signs as both director and secretary, this form will be rejected and returned to the presenter.

What is Company Secretarial?

Every company from the smallest to the largest has a range of obligations which must be met:

  • Statutory registers have to be maintained,
  • they must comply with filing obligations under the Companies Acts,
  • changes of directors have to be notified,
  • all have to be recorded and
  • with relevant board decisions minuted.
