Considering closing your company? If your company has stopped to carry on business or it has never carried on business, you can apply for a Voluntary Strike-off to remove your company form the Register of companies held by the Companies Registration Office (CRO). Here are steps you will need to take:
STEP 1
File outstanding returns to CRO and Revenue
STEP 2
De-register Company for Taxes with Revenue
STEP 3
Obtain Letter of No Objection from Revenue
STEP 4
Place a Legal notice in a daily newspaper
STEP 5
Submit Form H15 Strike-off Request to CRO
STEP 1: File outstanding Tax & CRO returns
CRO require that the company deliver all annual returns that are outstanding in respect of the company as at the date of strike-off application.
All outstanding B1 returns must be submitted to the CRO along with the Financial Statements for the company.
STEP 2: De-register Company for Tax
Revenue require that all outstanding returns for the company are delivered before the company can be de-registered for tax: corporation tax CT1 return, VAT3 and RTD returns and payroll tax returns.
All tax due must be paid to Revenue as well before Revenue agree to the company strike-off.
STEP 3: Letter of No Objection from Revenue
1. All outstanding tax returns must be submitted, including VAT3, CT1
STEP 4: Legal notice in a newspaper
An advertisement, in the prescribed format, must be placed in one daily newspaper published and circulated nationwide in the Republic of Ireland. The cost ranges from 99+VAT up to several hundred euro.
This advertisement should appear in a newspaper published not more than 30 days prior to the delivery to the CRO of the application for voluntary strike off.
The entire newspaper page (original) on which the highlighted advertisement appears should be submitted to the CRO with Form H15, as it is essential that both the name of the newspaper and the date of publication are displayed with the advertisement. (Photocopies will not be accepted).
Newspapers which can be used for the advertisement of the strike-off request - Irish Independent, Irish Daily Mail, Irish Daily Star, Irish Daily Mirror, Irish Times, Irish Examiner, The Herald, The Sun (Irish edition).
STEP 5: Form H15 submission to CRO
Form H15 is the formal request for strike-off sent to the CRO with a filling fee €15.
Form H15 must be signed by each director certifying that as at the date of the application -
- the amount of any assets of the company does not exceed €150;
- the amount of any liabilities of the company does not exceed €150;
- the company is not a party to ongoing or pending litigation.
Before filing Form B15, the company must deliver to the CRO all annual returns that are outstanding in respect of the company as at the date of the application.
The letter of no objection from the Revenue Commissioners and the newspaper ad are required to be attached to Form H15.
